EEUU y Francia, inversores más activos en fusiones y adquisiciones en España

Estados Unidos y Francia se han consolidado en lo que va de año como los compradores de empresas españolas más activos, tras firmar 24 y 20 operaciones, respectivamente, según el informe trimestral de Transactional Track Record (TTR), que también muestra que Reino Unido y Alemania buscan oportunidades en el mercado español, aunque a un ritmo menor, con 12 transacciones cada uno.

Entre las empresas que han decidido invertir en España se encuentra el fondo estadounidense Bruckman, Rosser, Sherrill & Co (BRS), que se ha hecho con la firma española de fabricación de armas Gamo por 100 millones de euros, y la farmacéutica francesa Naturex, que ha adquirido la productora española de ingredientes esenciales Natraceutical Industrial, filial hasta ahora de Natraceutical.

Según el informe, el volumen de inversión destinado a fusiones y adquisiciones en España se ha duplicado en el tercer trimestre respecto a los tres meses anteriores, hasta alcanzar los 9.518 millones de euros, una cantidad también superior a la del tercer trimestre de 2012.

El número de transacciones ha logrado mejorar la marca alcanzada en el mismo periodo de 2012 en un 14%, al aumentar desde 170 a 195 operaciones.

Las transacciones más importantes, en el sector financiero
Las transacciones de mayor importe que se han registrado en los nueve primeros meses del año se han concentrado en el sector financiero, debido a que las entidades bancarias españolas continúan con sus desinversiones. Es el caso, por ejemplo, de BBVA, que en lo que va de año se ha deshecho del 90,38% de la aseguradora chilena AFP Provida por unos 1.359 millones de euros y del 100% de la gestora mexicana de fondos de pensiones Afore Bancomer por 1.329 millones de euros.

También han destacado por su importe algunas operaciones en el sector de la aviación, donde Ferrovial, a través de su participada Heathrow Airport Holding, ha vendido el aeropuerto de Stansted por 2.086 millones de euros.

Asimismo, durante el tercer trimestre de 2013 el volumen de inversión movilizado por las firmas de capital riesgo ha roto la tendencia descendente iniciada a principios de año con una importante subida intertrimestral, hasta alcanzar los 3.182 millones de euros, el mayor nivel del año.

Este fuerte incremento de la inversión se ha debido a que durante estos últimos tres meses se han producido algunas operaciones de elevado importe, como la protagonizada por la firma británica de “private equity” Triton Partners, que ha cerrado la compra por 1.075 millones de euros de la gestora de residuos Befesa Medio Ambiente, hasta ahora filial de la tecnológica española Abengoa.

U.S. and France: the most active investors in mergers and acquisitions in Spain

The United States and France are the most active so far this year in buying Spanish companies, signing 24 and 20 operations respectively, according to Transactional Track Record (TTR) quarterly report. It also shows that the United Kingdom and Germany are looking for opportunities in the Spanish market although at a slower pace with 12 transactions each.

Among the businesses that decided to invest in Spain, there is the American investment fund Bruckman, Rosser, Sherrill & Co (BRS), which bought out the Spanish gun producer Gamo for 100 million euros, and there is the French pharmaceutical company Naturex that has acquired Spanish ingredient producer Natraceutial Industrial, a branch of Natraceutical up until now.

According to the report, the amount of investment put towards mergers and acquisitions in Spain has doubled in the third quarter compared to the previous one reaching 9.5 billion years, an amount that is higher than the third quarter in 2012.

The number of transactions this year has beaten 2012´s score during the same period by 14%, increasing from 170 to 195 operations.

The most important transactions in the financial sector
The largest transactions that were registered in the first 9 months of the year are concentrated in the financial sector mainly because Spanish banking entities are continuing their disinvestment. This is the case for BBVA, for example, which this year has gotten rid of 90.38% of its holdings in the Chilean insurer AFP Provida for around 1.4 billion euros and 100% of its holding in the Mexican pension fund Afore Bancomer for 1.3 billion euros.

There were also some notable operations in the aviation sector in which Ferrovial, through its participation in Heathrow Airport Holding, sold Stansted airport for 2.1 billion euros.

Likewise, during the third quarter of 2013 the volume of investment brought together by risk capital companies broke negative tendency that began at the beginning of the year with a large inter-quarter increase of up to 3.2 billion euros, the highest levels of the year.

This strong increase in investment is because within the last three months some high level operation were made, notable by the British private equity firm Triton Partners, which closed a deal for 1.1 billion euros for the waste management company Befesa Medio Ambiente, up until now a part of Spanish technology company Abengoa.
