El Gobierno fija una regulación para el funcionamiento del “crowdfunding”

El ministro de Economía, Luis de Guindos, ha anunciado que el Gobierno potenciará los mecanismos de quitas y aplazamientos de pagos, incluyendo la conversión de deuda en capital, con el fin de actuar en las fases preconcursales y ayuda a evitar la quiebra de las empresas.

Guindos ha anunciado que estas medidas se recogerán en un decreto ley que se aprobará el próximo viernes. Para limitar el impacto en el consumo y la inversión de estos procesos de refinanciación, el Ejecutivo también pretende superar las limitaciones de acuerdos de financiación evitando la rescindibilidad.

«Se trata de evitar que muchas empresas viables entren en concurso», ha explicado Guindos en rueda de prensa tras el Consejo de Ministros. El titular de Economía ha recordado que uno de los problemas «fundamentales» de la economía española es el elevado endeudamiento privado y ha afirmado que se «mejorará» la consideración de esta deuda en el balance de los bancos.

Otras medidas en esta línea serán las destinadas a posibilitar acuerdos individuales y la supresión de algún requisito y simplificación de homologación judicial.

Por otro lado, el Gobierno ha aprobado un anteproyecto de ley para mejorar la financiación de las pymes. Guindos ha desgranado este anteproyecto y ha subrayado que los bancos tendrán que dar un preaviso de «al menos» tres meses a las pymes a las que pretenda recortar su financiación en más de un tercio. Además, Guindos ha indicado que la banca deberá propiciar a las empresas de forma gratuita un historial financiero.

El paquete de medidas aprobado este viernes incluye una mejora del funcionamiento de las Sociedades de Garantía Recíproca, un régimen jurídico específico para los establecimientos financieros de crédito, una mejora de la regulación de las titulaciones en España, así como la potenciación del funcionamiento del Mercado Alternativo Bursátil (MAB).

Con el fin de mejorar la financiación alternativa a la banca, el Gobierno también mejora el régimen de emisión de obligaciones y fija una regulación para el funcionamiento del sistema del “crowdfunding”.

En este sentido, se persigue impulsar una nueva herramienta de financiación di
recta de proyectos empresariales en sus fases iniciales, además de proteger a los inversores.
Por ello, se fijan límites por inversor tanto por proyecto (3.000 euros) como por plataforma (6.000 euros por año).

Guindos ha avanzado además las líneas maestras de un anteproyecto de ley para la creación de las entidades de capital riesgopyme destinado a promover la financiación mediante instrumentos de capital y deuda de las empresas en sus primeras etapas de desarrollo y expansión.

Este tipo de entidades invertirán al menos un 70% de su patrimonio en pymes, además de participar en la gestión y aportar asesoramiento. Se beneficiarán de un régimen financiero más flexible que el de las entidades de capital riesgo tradicionales.

Además, el Gobierno agilizará y reducirá las cargas administrativas en el régimen de entidades de capital riesgo, que ya no quedarán sometidas a un régimen de autorización sino de simple registro ante la Comisión Nacional del Mercado de Valores (CNMV).

Finance Minister Luis de Guindos has announced that the (Spanish) government will reinforce the debt pardon and installment payment mechanisms, which include turning debt into capital, in order to improve pre-insolvency proceedings conditions and help companies avoid bankruptcy.

Guindos has said these measures will be included in a decree to be passed on Friday. To control the impact these refinance processes may have on consumption and investment, the executive branch is also try to move past the limitations in financing agreements while avoiding withdrawals.

“The objective is to make sure that viable companies don´t go bankrupt,” explained Guindos during a press conference following a cabinet meeting. The head of the economy Ministry remarked that one on the “main problems” with the Spanish economy is the high levels of private debt and said that the way banks view this debt on their balance books “will get better”.

Other steps will include those that make individual agreements possible and getting rid of some requirements and simplifying judicial processes.

Furthermore, the Government passed a bill to improve the financing of SMEs. Guindos described the bill and stressed that banks will have to give “at least” a three month heads-up to SMEs when they want to reduce their financing by more than one third. Guindos also indicated that banks must help companies by proving a financial history record for free.

The group of steps passed in to law on Friday includes a measure to improve how the Mutual Guarantee Societies work, a specific jurisdiction for finance and credit providing establishments, improvements in the regulation of securities in Spain, as well as ramping up the powers of the Alternative stock market.

With the objective of improving the financing alternatives to banks, the Government also is improving the laws on the emission of debt and has set up regulation for how “crowdfunding” systems work.

What the Government wants to do along these lines is to promote a new tool to directly finance business projects in their initial phases, as well as protecting investors. To do this, limits are set for investors for each project (3,000€) and on each platform (6,000€ a year).

Guindos also talked about the main points of the bill to create SMEs risk-capital entities that encourage financing of companies through capital and debt instruments during their first stages of development and expansion.

These types of entities will invest at least 70% of their capital in SMEs, as well as participating in the management and providing advice. They will be able to take advantage of more flexible financial controls than traditional risk-capital entities.

Moreover, the Government will reduce the administrative burden and make it more dynamic for those risk-capital entities since they will no longer be subject to an authorization process and just simply getting registered with the Spanish Securities Market Commission (CNMV).
